Statement on Export Control Compliance Policy

Tongxin Microelectronics Co., Ltd. and its subsidiaries (hereinafter collectively referred to as "TMC") have fully complied with the applicable national and international export control laws and regulations during the development of the company. It is a basic principle of TMC to earnestly implement the applicable export control laws and regulations. TMC firmly believes that complying with the requirements of export control laws and regulations is the only way for TMC to establish an honest and responsible corporate image, enhance international competitiveness and achieve sustainable development.

In order to implement the requirements of export control compliance, TMC has made efforts in various aspects, including but not limited to constantly improving  the export control compliance system and establishing the standard process of export examination; strengthening the training on export control compliance capabilities for employees and managers to enhance their awareness of compliance; promoting the application and implementation of export control compliance in business areas by strengthening the company's internal audit, and urging all parties involved in the company's export control compliance to effectively fulfill their responsibilities.

TMC is committed to always putting the export control obligations ahead of the TMC’s business interests. If TMC has reasonable reasons to believe that the tangible or intangible products, technologies and services to be exported may be used by customers or end users to develop or manufacture weapons of mass destruction and their delivery systems, unauthorized conventional military equipment or other end uses restricted by the applicable laws and regulations, may threaten national and regional peace and stability, or may fall into the hands of terrorist organizations, TMC is committed to rejecting the export of relevant products, technologies and services based on the principle of “catch-all” control and strictly enforcing export control measures.

TMC shall conduct export control risk assessment of business partners. If a business partner violates the applicable export control laws and regulations, TMC shall refuse to conduct business with the relevant party. TMC shall further establish and maintain close contact with the export control authorities of Chinese government, relevant non-governmental organizations and export control experts to keep abreast of relevant policy information and seek professional guidance and authoritative suggestions.

All employees of TMC are committed to making efforts to achieve TMC’s goal of export control compliance by complying with the applicable export control laws and regulations as well as TMC’s internal compliance system and processes established to reduce risks. Violation of the applicable export control laws and regulations shall bring significant losses and serious penalties to the company and relevant employees. Employees who violate the company's compliance rules shall face serious consequences, including but not limited to disciplinary actions and/or termination of employments; those who violate laws and regulations shall be held legally responsible.

TMC shall review this statement periodically and revise it according to the latest laws and regulations.
